Our Services

i)               Acquisition Coordination: 
a.     Advisor to present potential investment opportunities to Client and to assist the Client in its consideration and evaluation  in  said investment opportunities in the United States in accordance with the Clients requirements and at the Client’s sole discretion;
b.      Advisor to assist the Client in its selection and retenttion of potential law firms, accountants, tax advisors, or any other 3rd party professional or specialist (“Deal Team”) in accordance with the Clients requirements.   Deal Team will advise client on negotiating and structuring any potential investment;
c.     Advisor will assist in the coordination and management of the Client’s law Deal Team  in negotiating the potential investment and establishing the corporate structure best suited to the investment in accordance with the Clients requirements and at its sole discretion;
d.     Advisor will participate in all negotiations in regards to the potential investment opportunity and provide input and suggestions to the Client in order to assist the Client in reaching abiding Term Sheet that in accordance with the Clients requirements and at the Client’s sole discretion;
e.     Advisor will participate in all negotiations in regards to the potential investment opportunity and provide input and suggestions to the Client in order to assist the Client in reaching abiding Operating and Developemnt Agreement and any other required agreements in accordance with the Clients requirements and at the Client’s sole discretion;
f.      Advisor will participate and assist the Client in creating the legal structure for its investment as recommended  and agreed with the Deal Team in accordance with the Clients requirements and at the Clients sole discretion;
g.     Advisor will assist Client in executing the transaction in accordance with the terms as agreed between the Client and LMC under the Operating and Development agreement through to the Closing;
 
ii)             Due Diligence Coordination:
a.     Advisor to assist the Client in its selection and retention of potential law firms, accountants, tax advisors, architects, engineers, geotechinical engineers, environmental engineers, inspectors, cost consultants, quantity surveyors, appraisers, market research fimrs, or any other 3rd party professional or specialist (“Due Diligence Team”) in accordance with the Clients requirements and at the Client’s sole discretion;
b.     Advisor will assist in the coordination and management of the Client’s Due Diligence Team  in due diligence appropriate for the investment in accordance with the Clients requirements and at its sole discretion;
c.     Advisor will assist the Client to ensure that Seller provides access to documents, records, contracts, plans, drawings, and other materials as agreed upon in the Operating and Development Agreement;
d.     Advisor will attend any meetings and discussions to be held with Due Diligence Team  and the project managers, architects, engineers, governmental agencies and report back to the Client in order that the Client is informed in accordance with Clients requirements and at the Client’s sole discretion;
iii)            Asset Management (Development Phase):
a.     Advisor to assist the Client in its selection and retention of potential law firms, accountants, tax advisors, architects, engineers, geothechinical engineers, environmental engineers, inspecotrs, cost consultants, quantity surveyors, appraisers, market research fimrs, or any other 3rd party professional or specialist (“Monitoring Team”) in accordance with the Clients requirements and at the Client’s sole discretion;
b.     Advisor will assist in the coordination and management of the Client’s Monitoring Team  duing the development phase of the investment in accordance with the Clients requirements and at its sole discretion;
c.     Advisor will attend to monthly site meeting and inspections with the investment partner, project manager, general contractor, project architects and engineers, or more often as required during key stages of construction;
d.      Advisor will assist and ensure that the investment partner is providing all access to information and reports as stipulated in the Operating and Development Agreement;
e.     Advisor will assist Client in accessing any information that Client deems necessary for the Client to make any decisions as required under the Operating and Development Agreements;
f.      Advisor will attend and assist the Client will any meetings or discussions with the 3rd Party(ies);
iv)            Asset Management (Operational Phase):
a.     Advisor to assist the Client in its selection and retention of potential law firms, accountants, tax advisors, appraisers, market research firms, or any other 3rd party professional or specialist (“Operational Team”) in accordance with the Clients requirements and at the Client’s sole discretion;
b.     Advisor will assist in the coordination and management of the Client’s Operational Team during the development phase of the investment in accordance with the Clients requirements and at its sole discretion;
c.     Advisor will attend to monthly site meeting and inspections with the investment partner, and property manager;
d.      Advisor will assist and ensure that the investment partner is providing all access to information and reports as stipulated in the Operating and Development Agreement;
e.     Advisor will assist Client in accessing any information that Client deems necessary for the Client to make any decisions as required under the Operating and Development Agreements, including to annual operational budgets, capex budgets, marketing plans;
f.      Advisor will attend and assist the Client will any meetings or discussions.
